Please read these terms carefully before using our website, IT services, or engaging EnterWeb IT Firm for any project.

These Terms of Service ("Terms") govern your use of the enterweb.in website and any IT services, consulting, configurations, connectivity, and procurement solutions provided by EnterWeb IT Firm ("Company," "we," "us," or "our"). By accessing or using our website or services, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you must not use our website or services.

1 Eligibility & Agreement

You may use our website and services only if you meet the following conditions:

  • Age: You are at least 18 years old and legally capable of entering into binding contracts under applicable law.
  • Authority: If acting on behalf of an organization, you confirm you have full authority to bind that organization to these Terms.
  • Accuracy: All information you provide — via contact forms, quote requests, or direct communication — is accurate, current, and complete.
  • Compliance: Your use of our services complies with all applicable local, state, national, and international laws and regulations.

Precedence: Any written agreements, proposals, or contracts separately signed with EnterWeb IT Firm will prevail over these Terms in the event of any conflict for the specific engagement covered by that agreement.

Specific features, service levels, deliverables, timelines, and pricing for any engagement are defined in separate proposals, quotes, or contracts agreed with each client. These Terms apply in addition to — and do not replace — any such project-specific documents.

2.1 User Accounts

At present, user accounts are not created automatically through our website. All engagements are initiated via contact forms, quote request forms, email communication, or direct discussions. Any client portals or user accounts we later provide will be subject to additional terms communicated at that time.

3 Quotes & Orders

All commercial engagements begin with a formal quotation or proposal process:

  • Quote Validity: Quotes provided by EnterWeb IT Firm are typically valid for 14 days from the date of issue unless otherwise stated. Pricing may change after expiry.
  • Acceptance: An order or engagement is considered accepted only when confirmed by EnterWeb IT Firm in writing (including email confirmation) or when a separate agreement or purchase order is signed by both parties.
  • Scope Changes: Any changes to the agreed project scope, timeline, or deliverables must be agreed in writing by both parties. Scope changes may affect pricing and timelines.
  • Third-Party Procurement: For ILL, SIP lines, network devices, software licenses, and hardware procurement — final pricing is subject to vendor availability and pricing at the time of purchase. We will notify you of any material changes before proceeding.

4 Acceptable Use

You agree to use our website and services responsibly and lawfully. The following activities are strictly prohibited:

  • Unauthorized Access: Attempting to gain unauthorized access to our systems, networks, servers, or other clients' environments.
  • Malicious Activity: Uploading, transmitting, or deploying viruses, malware, ransomware, spyware, or any other malicious code via our services or systems.
  • Illegal Use: Using our services for any unlawful purpose, including but not limited to fraud, money laundering, or violation of intellectual property rights.
  • Interference: Interfering with, disrupting, or degrading the performance of our website, services, or IT infrastructure.
  • Reverse Engineering: Decompiling, disassembling, reverse engineering, or attempting to derive source code from any software, tools, or configurations we provide.
  • Unauthorized Resale: Reselling, sublicensing, or transferring our services or deliverables to third parties without our prior written consent.
  • Misrepresentation: Providing false information, impersonating any person or entity, or misrepresenting your authority or organizational affiliation.
  • Abuse of Staff: Engaging in abusive, threatening, or harassing behaviour toward EnterWeb IT Firm personnel or representatives.

Enforcement: We reserve the right to suspend or permanently restrict access to our services if we reasonably determine there has been a breach of these acceptable use obligations, without prior notice where urgency requires it.

5 Payment & Billing

All commercial engagements are handled through offline invoicing and formal agreements:

  • No Online Payment: We do not currently process payments directly through our website. All transactions are handled via bank transfer, UPI, cheque, or other agreed payment methods as specified in each invoice.
  • Invoice Terms: Unless otherwise agreed in writing, invoices are due within the timeframe stated on the invoice (typically 7–15 business days from the invoice date).
  • GST & Taxes: All fees are exclusive of applicable GST and any other government charges, duties, or levies, which are the responsibility of the client. GST-compliant invoices will be provided.
  • Late Payment: We reserve the right to suspend services or deliverables if payment is overdue by more than 15 days beyond the invoice due date, after providing written notice.
  • Advance Payment: For procurement services (hardware, software licenses, ILL/SIP), a partial or full advance payment may be required before placing orders with vendors. This will be stated in the quote.
  • Refunds: Refund eligibility and conditions are governed by the specific project contract. Generally, fees for services already rendered are non-refundable.

6 Intellectual Property

6.1 EnterWeb IT Firm Intellectual Property

All intellectual property rights in our website, branding, logos, documentation, tools, scripts, software, configurations, and methodologies remain the exclusive property of EnterWeb IT Firm, unless explicitly transferred in a separate written agreement signed by an authorized representative of EnterWeb IT Firm.

6.2 Client License

Clients receive a limited, non-exclusive, non-transferable, revocable license to use deliverables, configurations, and documentation created by EnterWeb IT Firm solely for their own internal business purposes. This license is subject to:

  • Full payment of all applicable fees for the engagement
  • Compliance with these Terms and any specific project contract
  • Restrictions defined in the applicable proposal or order
  • Immediate revocation upon material breach of these Terms

6.3 IP Transfer

Any custom assignment or full transfer of intellectual property to a client requires an explicit written IP assignment clause in the specific project contract, signed by both parties. Such a clause will override this section for that specific deliverable only.

6.4 Third-Party Intellectual Property

Where our services involve third-party software, hardware, or solutions (e.g., Cisco, FortiGate, Microsoft, AWS), those products and their associated intellectual property remain the property of their respective owners, and your use is subject to the relevant third-party license agreements.

7 Confidentiality

Both parties acknowledge that in the course of our engagement, each may have access to sensitive and non-public information of the other. Both parties agree to:

  • Protection: Keep all confidential information strictly confidential and not disclose it to any third party without prior written consent from the disclosing party.
  • Purpose Limitation: Use confidential information solely for the purposes of delivering or receiving the contracted services.
  • Standard of Care: Apply at least the same degree of protection to the other party's confidential information as they apply to their own confidential information — but no less than reasonable care.
  • Exclusions: Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no breach of these Terms; (b) was already known to the recipient before disclosure; (c) is independently developed without using the confidential information; or (d) must be disclosed by law or court order.
  • Duration: Confidentiality obligations survive termination of services for a period of 3 years from the date of last disclosure.

8 Data & Privacy

The handling of personal data in connection with our website and services is governed by our Privacy Policy, which forms an integral part of these Terms and is incorporated by reference.

By using our website or engaging our services, you acknowledge and agree that:

  • Our collection and processing of personal data is governed by the Privacy Policy at privacy.html
  • We process personal data in compliance with the Information Technology Act 2000, the Digital Personal Data Protection Act 2023 (DPDP Act), and applicable GDPR provisions
  • You have read and understood the Privacy Policy and accept its terms as part of these Terms of Service

9 Warranties & Disclaimers

9.1 Website "As Is"

Our website is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the website, including but not limited to its accuracy, completeness, availability, fitness for a particular purpose, or freedom from errors or viruses.

9.2 Services

While EnterWeb IT Firm uses commercially reasonable efforts to deliver stable, secure, and professional IT services, we do not warrant:

  • Uninterrupted or error-free service operation, unless explicitly guaranteed in a written SLA with the specific client
  • That third-party vendor hardware, software, or services we procure or integrate will perform without defect — such products are governed by their respective vendor warranties
  • Specific business outcomes, cost savings, or performance improvements, as these depend on factors outside our control

9.3 Third-Party Products

For hardware and software we procure on behalf of clients (devices, licenses, ILL connections, SIP trunks), the warranties and service levels applicable are those provided by the respective vendor or ISP, not EnterWeb IT Firm. We will assist in vendor warranty claims as a value-added service.

10 Limitation of Liability

10.1 Exclusion of Consequential Damages

To the maximum extent permitted by applicable law, EnterWeb IT Firm shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

  • Loss of profits, revenue, business, or anticipated savings
  • Loss of data or business information, even if we were advised of the possibility of such loss
  • Loss of goodwill, reputation, or business opportunities
  • Damage caused by third-party products, services, or vendors we recommended or procured
  • Business interruptions arising from force majeure events, ISP outages, or vendor failures

10.2 Aggregate Liability Cap

Our total aggregate liability for all claims arising under or in connection with these Terms or any specific service engagement — whether in contract, tort (including negligence), statute, or otherwise — shall not exceed the total fees actually paid to EnterWeb IT Firm by the relevant client for the specific service giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to such liability.

Important: Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

11 Suspension & Termination

11.1 By EnterWeb IT Firm

We may suspend or terminate access to our website or services in the following circumstances:

  • Material breach of these Terms or any specific project agreement by the client
  • Non-payment of invoices overdue by more than 30 days after written notice
  • Activity that violates applicable law or that may harm our systems, reputation, or other clients
  • Circumstances outside our control that make continued service delivery impossible (force majeure)

Wherever reasonably possible, we will provide written notice and a 7-day cure period before suspension or termination, except where immediate action is required to prevent harm.

11.2 By the Client

Clients may terminate services in accordance with the cancellation or termination provisions specified in their individual contracts or proposals. Standard notice periods, any applicable cancellation fees, and refund eligibility will be defined in the specific project agreement.

11.3 Effect of Termination

  • Upon termination, all licenses granted to the client for software and deliverables that are licensed (not owned) will immediately cease, unless otherwise agreed in writing
  • Any outstanding invoices become immediately due and payable upon termination
  • Both parties' confidentiality obligations continue for 3 years post-termination
  • Sections relating to IP, confidentiality, limitation of liability, and governing law survive termination

12 Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

12.1 Dispute Resolution

  • Negotiation First: In the event of any dispute, both parties agree to first attempt to resolve the matter amicably through good-faith negotiation within 30 days of written notice of the dispute.
  • Mediation: If negotiation fails, parties may agree to refer the dispute to a mutually agreed mediator before proceeding to formal legal action.
  • Jurisdiction: Any disputes that cannot be resolved through negotiation or mediation shall be subject to the exclusive jurisdiction of the courts located in Greater Noida, Uttar Pradesh, India.

Injunctive Relief: Nothing in this section limits either party's right to seek immediate interim or injunctive relief from any court of competent jurisdiction to prevent irreparable harm, including in cases of IP infringement, data breach, or confidentiality violations.

13 Changes to These Terms

We may update these Terms of Service from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes:

  • We will update the "Last Updated" date at the top of this page
  • Active clients may receive notification via email for significant changes that affect their rights or obligations
  • Continued use of our website or services after the effective date of updated Terms constitutes your acceptance of the changes
  • If you do not agree to the updated Terms, you must stop using our website and contact us to discuss your active engagements
